By accessing and using the services provided by apexlumen B.V. ("we," "us," "our," or "apexlumen"), you accept and agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of our fitness club, wellness services, website, and any related services.

Membership and Services

Membership Requirements

• Members must be at least 16 years of age
• Members under 18 require parental consent
• All members must complete a health and fitness assessment
• Members must provide accurate and current information

Service Availability

Our services are available during our operating hours as posted on our website and at our facility. We reserve the right to modify operating hours, services, or facility access with reasonable notice to members.

User Obligations

As a user of apexlumen services, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your account credentials
• Follow all facility rules, safety guidelines, and staff instructions
• Treat other members, staff, and property with respect
• Use equipment properly and report any damage immediately
• Maintain appropriate hygiene and attire standards
• Not engage in any illegal, harmful, or disruptive behaviour
• Comply with all applicable laws and regulations

Payment Terms

Membership Fees

• Membership fees are due in advance as specified in your membership agreement
• Fees may be subject to change with 30 days' written notice
• Late payment may result in suspension of services
• All fees are non-refundable except as required by law

Additional Services

Personal training, nutrition consultations, and other additional services are charged separately and must be paid according to the agreed schedule.

Health and Safety

Health Disclaimer

Participation in fitness activities involves inherent risks. You acknowledge that you are participating at your own risk and that you have consulted with a healthcare provider before beginning any exercise programme.

Medical Conditions

You must inform us of any medical conditions, injuries, or limitations that may affect your ability to safely participate in our programmes. We reserve the right to require medical clearance before allowing participation.

Intellectual Property

All content on our website and materials provided during our services, including but not limited to text, graphics, logos, images, software, and training programmes, are the property of apexlumen or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. Any unauthorised use of our intellectual property may result in termination of your membership and legal action.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Limitation of Liability

To the fullest extent permitted by law, apexlumen, its directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, including but not limited to:

• Loss of profits, data, or business opportunities
• Interruption of services or facility closures
• Acts or omissions of other members or third parties

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you have paid to us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless apexlumen, its directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of our services or facilities
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any false or misleading information you provide

Termination

Termination by You

You may terminate your membership by providing written notice as specified in your membership agreement. Termination does not relieve you of your obligation to pay any outstanding fees.

Termination by Us

We may terminate your membership immediately for breach of these Terms, non-payment, or behaviour that we determine to be harmful to our business, other members, or staff. We may also terminate memberships with reasonable notice for operational reasons.

Dispute Resolution

We encourage you to contact us directly to resolve any disputes. If a dispute cannot be resolved through direct communication, we may seek to resolve it through mediation before pursuing legal action.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of the Netherlands, and you consent to the jurisdiction of such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms shall remain in full force and effect.

Entire Agreement
